New Investment Committee
The INRS Foundation is looking for volunteers to make up its new Investment Committee (hereinafter, the “Committee”). The Committee will report to the Foundation’s Board of Directors, which will appoint its members and chair the Committee. To complement the Committee’s expertise, the Foundation’s Board of Directors may appoint a minimum of two (2) and a maximum of four (4) members, from among its members or from outside, all with relevant investment expertise.
The Foundation’s Board of Directors will also invite INRS to nominate three (3) non-voting observer members from its community to participate in Committee meetings: one (1) person representing INRS management, one (1) person representing its student community and one (1) person representing its faculty community.
The following tasks, relating to the administration and investment of the Foundation’s assets, estimated at approximately ten million dollars on May 1, 2024, will be the responsibility of the Committee:

developing and updating the investment policy and the responsible investment policy, and monitoring their application after receiving the approval of the Foundation's Board of Directors;

ensuring the diversification of investments, in particular by appointing and replacing portfolio managers and retaining the services of investment advisers;

ensuring that the managers fulfil the mandates and responsibilities entrusted to them;

reviewing the performance of the portfolio managers and their application of the responsible investment policy, and meet with them;

monitoring transaction costs and all other costs directly or indirectly related to asset management;
make recommendations regarding the amounts available for distribution of capitalization, indexation of capital, allocation to projects, etc. -
if securities are directly held, ensuring that the Foundation exercises its voting rights in accordance with the objectives of this Policy, including its responsible investment policy;

presenting its report to the Foundation's Board of Directors at the Board and Annual General Meetings.
